End User License Agreement (EULA) and Terms of Service

THIS END USER LICENSE AGREEMENT (THE “AGREEMENT”) IS A LEGALLY BINDING CONTRACT BETWEEN YOU (“USER,” “YOU,” OR “YOUR”) AND PRAANA COIL LLP (“COMPANY,” “WE,” “US,” OR “OUR”). BY ACCESSING, DOWNLOADING, INSTALLING, OR USING THE PRAANA COIL DEVICE (“DEVICE”) OR PRAANA COIL: PRAANA ZENTRA MOBILE APPLICATION (“APP”) (COLLECTIVELY, THE “PRODUCT”), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL TERMS, DISCONTINUE USE IMMEDIATELY.

1. DEFINITIONS

1.1 “Product”: Refers to the Praana Coil Device, Praana Coil: Praana Zentra App, accessories, documentation, and updates.
1.2 “User”: Any individual or entity accessing or using the Product.
1.3 “Content”: Data, text, images, or materials generated or transmitted via the Product.
1.4 “Services”: Functionality provided by the Product, including electromagnetic frequency modulation, software features, and user analytics.
2. ACCEPTANCE OF TERMS

2.1 Binding Agreement: By using the Product, you affirm you are at least 18 years old, have legal capacity, and accept all terms.
2.2 Modifications: We reserve the right to update this Agreement at any time. Continued use constitutes acceptance.
3. SCOPE OF USE

3.1 Non-Medical Device: The Product is a wellness tool, not a medical device. It is not intended to diagnose, treat, cure, or prevent any disease.
3.2 Experimental Use: Effects of electromagnetic frequencies (1Hz–90MHz) are not fully understood. Use is at your sole risk.
4. DISCLAIMERS
4.1 No Warranties

THE PRODUCT IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Fitness for a Particular Purpose

Merchantability

Non-Infringement

Accuracy or Reliability

4.2 Health Disclaimers

No Guaranteed Outcomes: Results vary by individual. We do not claim the Product affects health conditions.

Consult a Physician: Use only under guidance of a licensed healthcare provider. Pregnant individuals and users with electronic implants (e.g., Pacemakers) must consult an authorized medical professional before use. Discontinue immediately if adverse effects occur.

4.3 Third-Party Liability

We are not responsible for:

Third-party software, hardware, or services linked to the Product.

User-generated Content or actions.

4.4 Independent Research and User Responsibility

4.4.1 Research Basis:
The Product’s electromagnetic frequencies may be derived from or inspired by studies, publications, or hypotheses proposed by independent researchers, academic institutions, or third-party organizations. Such research may explore potential interactions between electromagnetic fields and biological systems. However, the Company does not endorse, validate, or guarantee the accuracy, completeness, or applicability of these studies.

4.4.2 No Endorsement of Outcomes:
References to external research are provided for informational purposes only. The Company makes no representations that:

(a) Such studies are conclusive, peer-reviewed, or universally accepted by the scientific or medical community;

(b) The Product’s frequencies will produce results consistent with such research;

(c) Independent researchers or organizations endorse the Product.

4.4.3 Assumption of Uncertainty:
You acknowledge that:

(a) Scientific understanding of electromagnetic frequencies and their biological effects is evolving and subject to debate;

b) The Product’s application of frequencies does not constitute medical or scientific advice;

(c) Use of the Product is undertaken at your sole discretion and risk, irrespective of any research cited or alluded to.
5. LIMITATION OF LIABILITY

5.1 Exclusion of Damages: IN NO EVENT SHALL PRAANA COIL LLP, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Bodily injury, illness, or death.

Loss of profits, data, or business opportunities.

Emotional distress or property damage.

5.2 Total Liability Cap: Our maximum liability for any claim related to the Product shall not exceed 50% of the amount paid by you for the Product.
6. USER RESPONSIBILITIES

6.1 Compliance: Use the Product only as intended and in accordance with Indian laws.
6.2 Prohibited Actions: You agree not to:

Reverse-engineer, modify, or hack the Product.

Use the Product while operating heavy machinery or impaired.

Share access with unauthorized users.

7. ASSUMPTION OF RISK

YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH PRODUCT USE, INCLUDING:

Unintended physiological effects from electromagnetic frequencies (1Hz–90MHz).

Malfunctions due to improper handling or environmental factors.

Cybersecurity breaches or data loss.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Praana Coil LLP from any claims, damages, or expenses (including attorneys’ fees) arising from:

Your misuse of the Product.

Violation of this Agreement.

Infringement of third-party rights.

9. TERMINATION

9.1 By Company: We may suspend or terminate access for breach of terms, fraud, or unlawful conduct.
9.2 By User: You may discontinue use at any time.
10. GOVERNING LAW & DISPUTES

10.1 Jurisdiction: This Agreement is governed by the laws of Delhi, India, excluding conflict-of-law principles.
10.2 Jurisdiction: Disputes shall be resolved through binding at the Delhi High Court. Class actions are waived.

10.2 Arbitration

Any dispute relating in any way to your visit to Praana Coil or to products or services sold or distributed by Praana Coil or through Praana Coil shall be submitted to New Delhi Regularity authority for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The number of arbitrators shall be one; the place of arbitration shall be New Delhi the language to be used in the arbitral proceedings shall be English/Hindi. The arbitral award is final and binding upon both you and Praana Coil.

11. MISCELLANEOUS

11.1 Severability: If any clause is deemed unenforceable, the remainder of the Agreement stands.
11.2 Entire Agreement: Supersedes all prior agreements or representations.
11.3 Waiver: Failure to enforce a provision does not constitute a waiver.

APPENDIX A: ACKNOWLEDGMENT OF RISK

By using the Product, you confirm:

You have read and understood this Agreement.

You assume full responsibility for all risks.

You release Praana Coil LLP from all liability.

APPENDIX B: PRODUCT SPECIFICATIONS

Intended Use: For general wellness and relaxation through non-invasive electromagnetic frequency modulation ranging from Hz to MHz, KHz or even Ultrasonic waves.

Coil Safety Guidelines:

Do not use if pregnant without medical reports and case study undertaken by our trained professional.

Individuals with electronic implants like Pacemaker are not allowed to use neither the device nor it’s software and any other related services offered by Praana Coil Team or anyone affiliated to Praana Coil.
Limit daily use to 30mins/day to avoid overexposure.

Technical Details:

Frequency Range: 1Hz–90MHz.

Compatibility: PC, WEB, iOS and Android App and Play Store policies apply respectively.

REFUND POLICY

Refunds are not permitted under any circumstances, except in cases where the Praana Coil Device is unavailable due to stock shortages.

YOUR USE OF THE PRODUCT SIGNIFIES UNCONDITIONAL ACCEPTANCE OF THIS AGREEMENT. IF YOU DO NOT AGREE, RETURN THE PRODUCT IMMEDIATELY.

Notes for Finalization:

Physical Address: Add your company’s registered office address under Section 12.

Safety Guidelines: Specify daily usage limits (e.g., “30 minutes per session”) in Appendix B.

Third-Party Components: Update Appendix C if third-party software/hardware is used.

User-Generated Content

Visitors may post reviews, comments, photos, and other content; send communications; and submit suggestions, ideas, or questions, provided the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing intellectual property rights, or otherwise harmful to third parties. Prohibited content includes software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam.”

You may not use a false email address, impersonate any entity, or mislead as to the origin of content. Praana Coil LLP reserves the right (but not the obligation) to remove or edit such content. By posting content, you grant Praana Coil LLP a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, and display such content globally in any media. You agree that you own or control all rights to the content, that it is accurate, and that its use does not violate this policy or harm any person/entity. Praana Coil LLP assumes no liability for content posted by you or third parties.
Copyright and Intellectual Property

All content on this site (text, graphics, logos, images, audio clips, software, etc.) is the property of Praana Coil LLP or its licensors and protected under Indian copyright laws. Use of Praana Coil LLP trademarks, service marks, or logos without express written consent is strictly prohibited.
Order Acceptance

Praana Coil LLP reserves the right to cancel any order at its sole discretion. Reasons for cancellation include:

Stock unavailability or purchase limits.

Inaccuracies in product/pricing information (e.g., typographical errors).

Concerns identified during fraud prevention checks.
We may require additional verification before accepting an order. If your order is canceled, you will be notified via email.

Applicable Law
